What kind of legal assurances (IP related) do SaaS startups have to give (early) enterprise customers?

Suppose we provide some software as a service in the cloud. And there is an API which other service providers can use to build services on top of our services. Now suppose there is another startup which provides some solution to end customers using our services under the covers. What would be a regular type of assurance that this start up should expect from us in terms of IP?

They will need a software licensing agreement similar to the one you agree upon when building applications on top of google maps, foursquare, or tumblr. The agreement will highlight that you are the owner of the copyrights in this piece of code (API) and that you provide them a license to use such code under the conditions you specify.
