How should we prepare for a seed investment?

We have a potential seed investor who has communicated interest in our company. My question the preparation for the investment: how do we prepare 1) the company for the actual transaction, due diligence and so on, 2) for negotiations with the investor in terms of valuation and other issues? Do we need external help for that?
